Welcome to EigenH.ai, operated by VALANCIFY EMPOWER PRIVATE LIMITED (“Company”, “we”, “us”, “our”). These Terms of Use (“Terms”) govern your access to and use of https://eigenh.ai, our product demonstrations, and our software for mobile-first clinical documentation, clinician review workflows, documentation analytics, and related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Acceptance of Terms

By registering for, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and VALANCIFY EMPOWER PRIVATE LIMITED.

3. Eligibility

You must be at least 18 years of age to use our Services. If you use the Services on behalf of a hospital, clinic, business, or other organization, you represent that you have authority to bind that organization to these Terms.

4. Description of Services

EigenH.ai provides software and related services designed to support healthcare operations, including clinical documentation, review workflows, documentation analytics, and associated integration or implementation work.

AI-assisted outputs may be incomplete, incorrect, or unsuitable for a specific use case. Customers and authorized users are responsible for reviewing outputs before operational, administrative, or clinical use.

5. User Responsibilities & Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Services for any illegal purpose or in violation of any local, state, national, or international law.
  • Violate or infringe upon the rights of others, including intellectual property rights.
  • Transmit any material that is abusive, harassing, defamatory, obscene, or fraudulent.
  • Interfere with or disrupt the security, integrity, or performance of the Services.
  • Attempt to gain unauthorized access to the Services or related systems.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Use the Services in a manner that violates patient privacy, contractual obligations, or applicable healthcare requirements.

6. Accounts & Security

To access certain features of the Services, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Notify us immediately at support@eigenh.ai if you discover or suspect any security breaches related to your account.

You are solely responsible for all activities that occur under your account.

7. Intellectual Property Rights

Our IP: The Services, including software, text, graphics, configuration materials, and the “EigenH.ai” brand, contain proprietary information owned by VALANCIFY EMPOWER PRIVATE LIMITED and are protected by applicable intellectual property laws.

Your Content: You retain ownership of content and data you submit to the Services, subject to the rights necessary for us to host, process, secure, support, and improve the Services in accordance with our agreement with you.

8. AI and Clinical Review

The Services may generate documentation drafts, summaries, analytics outputs, or workflow records using AI models.

  • No medical judgment transfer: EigenH.ai does not replace licensed professionals, clinical judgment, or required review processes.
  • Human review required: Customers are responsible for defining, enforcing, and following review and approval procedures before acting on generated outputs.
  • No warranty of accuracy: We do not guarantee that AI-generated outputs are error-free, complete, or fit for any particular purpose.

9. Payments, Subscriptions & Refunds

Certain Services require payment under a proposal, order form, subscription plan, or other commercial agreement.

  • Billing: You agree to provide accurate billing and account information.
  • Commercial terms: Fees, invoicing, renewal terms, usage limits, and implementation scope may be governed by a separate agreement.
  • Refunds: Refunds, if any, are governed by our refund policy and any signed commercial documents.

10. Third-Party Services & Integrations

Our Services may integrate with third-party infrastructure, identity systems, hospital systems, communications services, or other external platforms.

  • Your use of third-party services is subject to their respective terms and privacy policies.
  • We are not responsible for the availability, accuracy, or content of such third-party services.

11. Limitation of Liability

To the fullest extent permitted by law, VALANCIFY EMPOWER PRIVATE LIMITED, its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services;
  • Any conduct or content of any third party on the Services;
  • Any content obtained from the Services; and
  • Unauthorized access, use, or alteration of your transmissions or content.

12. Indemnification

You agree to defend, indemnify, and hold harmless VALANCIFY EMPOWER PRIVATE LIMITED and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Services’ content, services, and products other than as expressly authorized in these Terms.

13. Suspension & Termination

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Services will immediately cease.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising from or relating to the subject matter of these Terms shall be subject to the exclusive jurisdiction of the courts located in Andhra Pradesh, India.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
